Terms of service
These Terms of Service (“Terms”) govern your access to and use of the Progurt Australia website and your purchase of products from our online store. By using the website, you agree to the provisions governing website use. A contract for a product order is formed only when we send you an order-acceptance or dispatch confirmation, not when an automated order-receipt message is sent. If you do not agree to these Terms, do not use the website or place an order.
1. Who we are
This website is operated by Microbioflora Pty Limited, trading as Progurt (“Progurt”, “we”, “us”, “our”), ABN 88 003 268 979, of 16 Sunnyridge Road, Arcadia NSW 2159, Australia. You can contact us at support@progurt.com.au.
2. Eligibility and website use
You must be at least 18 years old, or use the website with the consent and supervision of a parent or guardian. You must not use the website or our products for an unlawful purpose, interfere with the website’s operation or security, impersonate another person, or transmit malicious code. We may refuse service or suspend access where reasonably necessary to address a breach, fraud, security risk, legal obligation, or harm to others.
3. Products, availability and pricing
Prices are in Australian dollars (AUD) and include GST where applicable. We take reasonable care to present descriptions, images and prices accurately, although screen colours may vary. Before an order contract is formed, we may correct an error, change the price of a one-time purchase, limit quantities, or decline an order. We will not change the price of an accepted order. Subscription price changes are governed only by the notice and cancellation provisions in our Subscription & Auto-Renewal Terms; they are not subject to an unannounced price-change right in this section.
4. Orders and payment
Your order is an offer to buy. We may accept or decline it for legitimate reasons including availability, payment failure, suspected fraud, an obvious pricing error, or quantity limits. If we decline or cancel an order after taking payment, we will promptly refund the amount paid to the original payment method. Payment is handled by our payment providers, and we do not store full payment-card numbers. You must provide current and accurate account, contact, delivery and payment information.
5. Subscriptions and automatic renewal
Some products may be purchased as recurring orders through Recharge. Before a subscription purchase, the recurring price, billing frequency, renewal nature, shipping charges and cancellation method must be shown adjacent to an unticked consent control. By actively selecting that control and completing the purchase, you authorise recurring charges until cancellation.
You may skip, pause, reschedule, change or cancel through the self-service account or direct link supplied in subscription communications. Cancellation stops any recurring charge that has not already been initiated; if a charge has already been completed, the related order is governed by our Refund Policy. There are no lock-in contracts, penalties or cancellation fees. Recurring charges are initiated on the scheduled charge date shown in your account; that schedule must accurately identify the next charge and does not override the preceding cancellation rule. 6. Shipping, refunds and our satisfaction guarantee
Our Shipping Policy and Refund Policy form part of these Terms. If you are not satisfied with your first order from Progurt, contact us within 30 days after delivery for a full refund of the purchase price. The Refund Policy defines “first order”, household limits, treatment of bundles and subscriptions, and the return process. This voluntary guarantee is additional to, and does not limit, rights under the Australian Consumer Law.
7. Product and health information
Progurt products are foods that support gut health. They are not intended to diagnose, treat, cure or prevent any disease.
Website information, including the MEND Method and educational content, is general information and not medical advice. Consult a qualified health professional about your circumstances, particularly if you are pregnant, breastfeeding, taking medication, have allergies, or are managing a health condition.
8. Website information
We take reasonable care with website content but it may occasionally contain an error, omission or out-of-date statement. We may correct or update content. You should assess general educational information in light of your own circumstances and obtain professional advice where appropriate. Nothing in this section limits a consumer guarantee, representation, or remedy that cannot lawfully be excluded.
9. Third-party tools and links
The website may link to or interoperate with services operated by third parties. Those third parties control their services and terms. To the extent permitted by law, we are not responsible for an unrelated third party’s acts or content, but this does not exclude responsibility we cannot lawfully exclude for our own conduct or for services supplied as part of our transaction with you.
10. Reviews and other submissions
If you submit a review, comment, image or other content for publication, you give us a non-exclusive, worldwide, royalty-free, transferable licence to use, host, reproduce, format, publish and display that submission in connection with Progurt’s products, services and marketing. We will not materially alter the meaning of your review. If you delete a review or ask us to remove it, we will remove it from the review display, though it may remain in materials already produced and in records we are required to keep. You confirm that your submission is lawful, accurate to your knowledge and does not infringe another person’s rights.
11. Privacy
Our Privacy Policy explains how we handle personal information. A privacy notice describes our practices; consent for a particular use is obtained separately where the law requires it.
12. Intellectual property and prohibited conduct
The website and its content are owned by or licensed to us. You may use them for personal, non-commercial shopping and information purposes. You must not unlawfully copy, exploit or interfere with them; infringe intellectual-property or privacy rights; harass or discriminate; submit deceptive information; collect another person’s data without authority; spam, phish, scrape or crawl in a way that disrupts the service; bypass security; or upload harmful code.
13. Australian Consumer Law; website disclaimer
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law that cannot lawfully be excluded, including your right to compensation for reasonably foreseeable loss. Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. To the extent permitted by law and subject to those guarantees, the website is provided "as is" and "as available" and we are not liable for loss that does not result from our breach.
14. Indemnity
To the extent permitted by law, you are responsible for reasonably foreseeable loss suffered by us because of your intentional or negligent unlawful conduct, your material breach of these Terms, or your infringement of another person’s rights. You are not responsible to the extent the loss was caused or contributed to by us, and nothing here requires you to indemnify us for liability that cannot lawfully be transferred.
15. Suspension, termination and severability
You may stop using the website at any time. We may suspend or terminate access where reasonably necessary for a material breach, fraud, security, legal compliance, or protection of users. Rights and obligations accrued before termination survive. If a provision is unenforceable, it is severed or read down to the minimum extent necessary and the remainder continues.
16. Entire agreement
These Terms and the policies expressly incorporated into them are the agreement governing website use and online purchases, without excluding representations or rights that cannot lawfully be excluded.
17. Changes to these Terms
We may update these Terms prospectively. Changes do not alter an order already accepted or a charge already authorised under the terms presented at the time. We will post the revised version before it takes effect and provide direct notice of material changes where reasonably practicable or legally required. If a change requires fresh consent, we will obtain it rather than treating continued browsing as consent.
18. Governing law
Subject to rights that cannot be displaced, these Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
